Reports To: Chief Legal Officer (CLO) or General Counsel

Job Overview: The Legal Counsel will be crucial in providing legal advice, ensuring compliance with all legal requirements, and managing risks for the organization.

This position involves drafting and reviewing legal documents, representing the company in legal proceedings, and advising on legal rights and obligations.

The role requires a deep understanding of legal principles, excellent analytical skills, and the ability to communicate complex legal concepts clearly.

Key Responsibilities:

Provide legal advice to the organization on various legal issues, including contracts, litigation, corporate governance, employment law, and regulatory compliance.
Draft, review, and negotiate contracts and other legal documents to protect the company’s interests.
Represent the company in legal proceedings, such as lawsuits and arbitrations, or oversee external legal counsel’s work.
Monitor and analyze changes in laws and regulations that affect the organization, and advise on compliance strategies.
Assist in developing and implementing corporate policies and procedures to ensure legal compliance.
Collaborate with other departments to identify and manage legal risks.
Conduct legal research and provide training to the company on legal topics, policies, and procedures.
Manage any legal issues related to mergers, acquisitions, and other corporate transactions.
Qualifications:

Juris Doctor (JD) degree from an accredited law school.
License to practice law in the relevant jurisdiction.
Proven experience as a Legal Counsel or similar role within a corporate or law firm setting.
Strong knowledge of statutory legislation and regulations relevant to the organization.
Excellent negotiation, research, and analytical skills.
Ability to communicate complex legal concepts to non-legal personnel.
Strong ethical judgment and the ability to maintain confidentiality.
Proficient in legal research software and Microsoft Office Suite.
Work Environment: This role is primarily office-based and may require occasional travel for court appearances, meetings, or negotiations.
